LLC, Corporation and the S-Corp election

LLC

An LLC (limited liability company) is an entity created under state law. It often suits small business owners, independent professionals and investors who want a flexible structure.

It allows flexible management, by its members or by managers, and may offer liability protection subject to applicable law. Its federal tax treatment depends on the number of owners and the elections made. Each state has its own obligations, such as annual reports and fees.

Corporation

A corporation is a legal entity separate from its owners, with ownership represented by shares of stock.

It is governed by shareholders, a board of directors and officers. By default it is taxed as a C-Corporation: the corporation pays tax on its profits, and shareholders may pay tax on dividends. It requires more formalities, such as bylaws, minutes and periodic reports.

S-Corp

An S-Corp is not an entity type you register with a state: it is a federal tax election. An eligible LLC or corporation may ask the IRS for that tax treatment.

Eligibility requirements and filing deadlines apply. The election does not automatically lower everyone's taxes. We recommend speaking with a qualified tax professional before making it.

No. State filing fees and other required government charges are additional and quoted separately.

In many cases yes, but requirements, the EIN process, banking and tax obligations vary by situation. We recommend consulting qualified professionals.
